These terms apply to Spokn, the dictation app from SpoknLabs, on iPhone and Mac. By installing or using Spokn, you agree to these terms. If you don't agree, please don't use the app.
About Spokn
- Spokn is a personal dictation utility for iPhone and Mac.
- It provides two transcription engines: an on-device engine (using WhisperKit) and an online engine that calls OpenAI's transcription API using your own API key.
- Spokn is free. There is no SpoknLabs account, no in-app purchase, and no subscription.
- SpoknLabs operates no backend service — Spokn runs entirely on your device, except for transcription requests you choose to route through OpenAI.
Apple App Store & the standard EULA
Spokn is distributed through the Apple App Store. Your use of Spokn is also governed by Apple's Licensed Application End User License Agreement (the "Apple Standard EULA"). Where these terms and the Apple Standard EULA conflict, these terms control to the maximum extent permitted by law, except for clauses that the App Store requires Apple's terms to control. You acknowledge that the agreement for Spokn is between you and SpoknLabs, not between you and Apple, and that Apple is a third-party beneficiary of these terms with the right to enforce them as they relate to Apple's role.
The OpenAI engine — your key, your relationship
- The OpenAI API key used by Spokn's online engine is provided by you. SpoknLabs does not sell, resell, mark up, rebate, or otherwise touch OpenAI usage.
- All requests made by Spokn's online engine are sent directly from your device to OpenAI, authenticated by your own API key. SpoknLabs is not a party to those requests and does not receive a copy.
- All charges that accrue against your OpenAI account through Spokn are between you and OpenAI. SpoknLabs is not part of that billing relationship and is not responsible for OpenAI charges, billing disputes, rate-limit incidents, refunds, credits, or service interruptions on OpenAI's side.
- When you use the online engine, you agree to comply with OpenAI's own terms and policies, including its usage policies and any applicable terms attached to your OpenAI account.
Your content
Anything you dictate into Spokn — your audio and the resulting transcripts — is yours. SpoknLabs claims no ownership of, and no licence to, your content. Because SpoknLabs operates no backend, we cannot and do not access your content at any point.
Acceptable use
- Spokn is provided for your personal dictation use. Don't record other people without their consent in jurisdictions that require it.
- Don't use the OpenAI engine to dictate content that violates OpenAI's usage policies, applicable law, or the rights of others.
- Don't attempt to reverse-engineer, decompile, redistribute, or sublicense Spokn except as expressly permitted by Apple's Standard EULA or applicable law.
Disclaimers
Spokn is provided "as is" and "as available", without warranties of any kind, express or implied, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, and non-infringement. SpoknLabs does not warrant that Spokn will be error-free, uninterrupted, secure, or that transcription will be accurate.
Specifically: do not rely on Spokn for legal, medical, safety-critical, financial, or evidentiary transcription. Always review and verify a transcript before acting on it.
Limitation of liability
To the maximum extent permitted by law, SpoknLabs and its owners, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — including (without limitation) loss of data, lost profits, business interruption, or charges incurred via your OpenAI account — arising out of or relating to Spokn, even if SpoknLabs has been advised of the possibility of such damages.
To the maximum extent permitted by law, the total aggregate liability of SpoknLabs to you for all claims arising out of or relating to Spokn is limited to the greater of (a) the amount you paid SpoknLabs for the app in the twelve months preceding the claim, or (b) USD 50.
Some jurisdictions do not allow the exclusion or limitation of certain damages — those exclusions may not apply to you, and nothing in these terms limits liability that cannot be limited under applicable law (including statutory consumer rights).
Changes to these terms
These terms may change. The "Last updated" date at the top of this page reflects the most recent change. For material changes (anything that affects your rights, obligations, or how you can use Spokn), we will also note the change in the app's release notes. Continuing to use Spokn after a change constitutes acceptance of the revised terms.
Governing law
These terms are governed by the laws of Switzerland, without regard to its conflict-of-laws rules. The exclusive forum for any dispute arising out of these terms is the competent courts of Zürich, Switzerland — except where mandatory consumer-protection law in your country of residence requires otherwise. Nothing in this clause limits your rights as a consumer under the laws of your home jurisdiction.
